How these terms apply to you
1 — Business users

Listing services, advertising, managing business profiles or purchasing subscriptions. This part is for business use only. By creating an account or making a purchase you confirm you are acting in the course of a trade, business, craft or profession and not as a consumer.

2 — Public directory browsing

Searching and viewing business listings as a member of the public. This part is freely available to everyone. However, our general disclaimers, liability limitations and content rules still apply to the maximum extent permitted by law.

1. Who we are

Advertise England ("we", "us", "our") operates the online business directory and associated services at advertiseengland.com (the "Platform"). The Platform is a B2B commercial directory covering businesses, services, tourism, events and property in England.

For data protection purposes, Advertise England is the data controller. Our ICO registration number will be displayed here once assigned. For all legal and compliance enquiries: hello@advertiseengland.com.

Important: These Terms & Conditions constitute a legally binding contract between you and Advertise England. If you do not agree to these terms, you must not use the Platform or submit a listing.

1b. Accuracy of Information & Data Disclaimer

We make every reasonable effort to ensure that all information, listings, business details, events, property data and other content on AdvertiseEngland.com is accurate and up to date at the time of publication. However:

  • We do not guarantee the completeness, accuracy, reliability, currency or timeliness of any information on the Platform;
  • All content is provided "as is" and "as available" — you use the Platform and any information obtained from it entirely at your own risk;
  • Information submitted by third-party Listers — including business details, prices, opening times, services offered and event information — is beyond our direct control and may be incomplete, inaccurate or out of date;
  • We shall not be liable for any loss, damage, cost or expense of any nature arising from reliance on any content on the Platform.

You must verify all information directly with the relevant business, event organiser or authority before relying on it, making a booking, attending an event, or entering into any transaction.

Note on "verified" and "curated" language

Where the Platform uses words such as "verified" or similar terms in relation to listings, this means only that the business has submitted a listing and passed basic automated compliance checks — for example, matching against Companies House records or equivalent public register data. It does not mean we have independently verified the business's legitimacy, trading status, qualifications, licences, insurance, service quality or fitness for any purpose. "Verified" does not constitute any endorsement, vetting of qualifications, insurance or service quality by Advertise England. You must conduct your own due diligence before engaging with any listed business.

We follow ICO guidance for online directories. Business contact details are published on the basis of legitimate interests where they relate to a business activity rather than a private individual. Business owners may request correction or removal of their listing at any time by contacting hello@advertiseengland.com.

2. Who These Terms Apply To

These Terms & Conditions apply to all users of the Platform. By accessing or using the Platform in any way — including browsing, creating an account, submitting a listing, making a payment, or using any feature — you confirm that you have read, understood, and agree to be bound by these terms and our Privacy Policy.

The Platform serves two main audiences:

  1. Business Users — "Business Users" means any user who creates a listing, purchases a package, manages a business profile, or uses account features. By using these features you expressly warrant that you are acting wholly or mainly in the course of a trade, business, craft or profession and not as a consumer. These Terms (especially the limitation of liability, payment terms, no-refund policy, and cancellation rights) are drafted on the basis of that warranty. Consumer law protections (including certain rights under the Consumer Rights Act 2015) do not apply to Business Users to the maximum extent permitted by law. Your acceptance is additionally confirmed through the mandatory confirmation checkboxes at checkout, each of which forms part of the binding contract.
  2. Public Users — members of the public who browse the directory, events, tourist information or other public content without creating an account or making a purchase. Public browsing is permitted but does not alter the application of liability limitations and disclaimers to the fullest extent permitted by law. You may be a consumer for the purposes of UK consumer law and some provisions (particularly liability limitations and exclusions) may not apply to you in full. However, our general disclaimers (section 1b), accuracy notices, acceptable use policy, and content rules apply to all users regardless of capacity.

Not sure which applies to you? If you are paying for a listing, creating an account or advertising your business — you are a Business User. If you are simply browsing listings as a member of the public — you are a Public User. If you are unsure whether you are using the Platform as a consumer, please contact us before making a purchase.

We strongly recommend that all users review our Privacy Policy and the accuracy disclaimers in section 1b before relying on any content on the Platform.

3. Definitions

"Public User"Any person accessing or browsing the Platform without creating an account or making a purchase.
"User"Any person accessing or browsing the Platform, whether or not they hold an account.
"Subscription"A paid or free listing package (Free, Bronze, Silver, Gold or Platinum).
"Content"All text, images, videos, descriptions, reviews, data and other material submitted to or displayed on the Platform.
"Services"All features, tools and functionality provided through the Platform including listing publication, search, reviews, tourist information and events.
"Stripe"Stripe Technology Europe Ltd, our third-party payment processor.
"Founder / Lifetime Membership"A one-off, non-recurring listing package providing permanent directory access, subject to these Terms.
"Content Guidelines"The rules governing acceptable content published on the Platform, as set out at advertiseengland.com/content-guidelines and incorporated into these Terms by reference.

4. The Platform & Services

Advertise England is an online directory that enables businesses in England to publish listings and enables visitors to discover businesses, services, tourist attractions, events, property and other content. The Platform includes:

  • A searchable business directory covering all 48 English counties;
  • Paid and free listing subscription packages;
  • Tourist information, travel guides and accessibility information;
  • Events and "What's On" listings;
  • Property listings;
  • Jobs listings;
  • Customer review functionality;
  • An AI-powered assistant for general enquiries.

We reserve the right to modify, suspend or discontinue any part of the Platform at any time, with or without notice. We will endeavour to provide reasonable notice of material changes that affect paid subscribers.

The Platform is intended for use by persons aged 18 or over. It is a B2B commercial directory and is not directed at or intended for consumers acting outside their trade, business, craft or profession. By creating an account or purchasing a subscription you warrant that you are acting wholly or mainly in the course of a business and not as a consumer. Consumer law protections (including certain cancellation and unfair terms rights under the Consumer Rights Act 2015) therefore do not apply to the maximum extent permitted by law.

5. Eligibility & Accounts

5.1 Age and capacity

You must be aged 18 or over and have the legal capacity to enter into a binding contract to use the Platform, create an account or submit a listing. By using the Platform you warrant that you meet these requirements. Creating an account or submitting a paid listing by a person under 18 renders any resulting contract void. We will remove such listings and issue a full refund where payment has been taken.

5.2 Authority to list

By submitting a listing you warrant that you are the business owner or an authorised representative of the business being listed, and that you have full authority to make representations about that business and enter into this contract on its behalf. Submitting a listing for a business you do not own or are not authorised to represent is a breach of these terms and may constitute fraud.

5.3 Account security

You are responsible for maintaining the confidentiality of your account credentials. You must not share your login details with any unauthorised person. You agree to notify us immediately at admin@advertiseengland.com if you suspect any unauthorised use of your account. We are not liable for any loss arising from unauthorised use of your account where you have failed to keep your credentials secure.

5.4 Accurate information

You must provide accurate, complete and current information when creating an account or submitting a listing. You must keep your account and listing information up to date. We reserve the right to suspend or remove accounts and listings where information is found to be false, misleading or out of date.

6. Listing Subscriptions

6.1 Available packages

The Platform offers five listing tiers. Full details of features, pricing and billing periods are set out at advertiseengland.com/list-your-business.html. Prices are subject to change; the price applicable to your subscription is the price displayed at the time you complete your purchase.

6.2 Confirmation requirements

Before any paid listing subscription can be submitted, you must actively tick all mandatory confirmation checkboxes. The submit and payment button is technically disabled until every box is checked. These checkboxes constitute your express consent to:

  • The content of your advert as shown in the live real-time preview;
  • These Terms & Conditions and our Privacy Policy;
  • The accuracy of your listing information and your authority to list;
  • Being aged 18 or over with the legal capacity to enter this contract.

By ticking these boxes you acknowledge that the digital service will be fully activated upon payment, that you have reviewed your listing in the live preview, and that you are satisfied with its contents. This constitutes informed consent and forms the basis of the commercial contract between you and Advertise England.

6.3 Listing approval

All listings are subject to review before publication. We reserve the right to refuse, delay or remove any listing that does not meet our content standards (see section 9). Paid tier listings are prioritised and typically go live within a few hours of payment. Free listings are typically live within 24 hours. Approval timescales are not guaranteed.

6.4 Subscription expiry and downgrade

When a paid subscription expires and is not renewed, the listing is automatically downgraded to a permanent Free advert. It is not deleted. The business retains its directory presence and Google indexing, but reverts to Free tier features. If you do not wish your free listing to remain live after expiry, you may delete it at any time from your Dashboard. To re-upgrade, log in and select a new package.

6.5 Founder Members

Founder Members pay a one-off lifetime fee for a permanent listing that never expires and never downgrades. Founder listings are subject to these Terms & Conditions in all other respects. The Founder Members programme is subject to availability and we reserve the right to close it at any time.

Founder (lifetime) memberships represent a significant one-off financial commitment. By purchasing a Founder membership you acknowledge that:

  • You have carefully considered the value of lifetime access before purchasing;
  • You understand that no refund will be available except in the narrow circumstances set out in section 8.2;
  • You are acting in the course of a business and not as a consumer;
  • You have had the opportunity to ask questions and seek independent advice before committing.

Cooling-off period for Founder packages: As a goodwill gesture only, if you contact us within 14 days of purchasing a Founder membership and your listing has not yet been published, we will cancel your purchase and provide a full refund. Founder membership is a non-refundable lifetime commitment — the 14-day cooling-off period is offered voluntarily and does not confer any statutory cancellation right (which is excluded under the Consumer Contracts Regulations 2013 by reason of the B2B nature of this contract and your express prior consent to immediate service delivery). Once your listing is live, the standard no-refund policy in section 8 applies. To request a cooling-off cancellation: admin@advertiseengland.com.

6.6 Ranking and placement

Listing placement and search ranking is determined by subscription tier and, within tiers, by factors including completeness, recency and relevance. We do not guarantee any specific position in search results. Rankings may change at any time. Paid tiers are ranked above lower tiers as described in the package specifications.

7. Payment & VAT

7.1 Payment processing

All payments are processed by Stripe Technology Europe Ltd. Your card details are entered directly on Stripe's secure form and never touch our servers. By making a payment you also agree to Stripe's terms of service. We retain only a transaction reference ID — no card or billing data is stored by Advertise England.

7.2 VAT

All prices displayed on the Platform are exclusive of VAT unless otherwise stated. VAT at the prevailing UK rate (currently 20%) is calculated and applied by Stripe Tax at checkout. A VAT receipt is issued automatically by Stripe to your registered email address upon payment. Advertise England does not handle, calculate or store VAT data.

7.3 Failed payments

If a payment fails, your subscription will not activate or renew. It is your responsibility to ensure payment details are current and sufficient funds are available. We are not liable for any loss of listing visibility, ranking or features resulting from a failed payment.

7.4 Pricing changes

We reserve the right to change subscription prices at any time. Price changes will not affect your current billing period. We will provide reasonable notice of price changes to active subscribers. Your continued subscription after a price change takes effect constitutes acceptance of the new price.

8. Refunds & Cancellation

8.1 No-refund policy

Advertise England does not offer refunds on paid listing subscriptions. All sales are final. By completing payment you acknowledge and accept this policy.

This policy is justified on the following grounds:

  • Informed consent at checkout: Before payment you must actively tick four mandatory confirmation checkboxes confirming satisfaction with your advert, agreement to these terms, accuracy of information, and age and legal capacity. The payment button is technically disabled until all four are checked. This constitutes fully informed, express consent prior to the contract being formed.
  • Immediate service delivery: The listing service activates immediately upon successful payment. Your listing is published within hours, Google indexing begins, and the full subscription value starts accruing from the moment of purchase. There is no unused period to refund.
  • Live preview: A real-time preview shows exactly how your listing will appear on the Platform before you submit. You can review and amend every detail before committing to payment. By proceeding to payment you confirm you are satisfied with the listing as previewed.
  • B2B digital service with express prior consent: This is a business-to-business commercial contract for a digital service. Under regulation 36(1)(m) of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the right to cancel does not apply to digital content or services where performance has begun with the consumer's prior express agreement and acknowledgement that the cancellation right is lost — both of which are captured at checkout.
  • Immediate payment disbursement: Stripe processes and disburses funds upon confirmation. Advertise England never holds card data and reversal of completed transactions is not operationally straightforward.

8.2 Exceptions

We will consider refund requests only in the following circumstances:

  • A duplicate charge occurred due to a verifiable technical fault on our platform (evidenced by Stripe records);
  • Payment was taken but the listing was never published due to a fault on our side and we cannot resolve this within a reasonable time;
  • A fraudulent transaction is confirmed by Stripe and the card issuer;
  • The contract is void because the Lister was under 18 at the time of submission.

Nothing in this section affects any rights you may have that cannot be excluded by law, including rights under the Consumer Rights Act 2015 where applicable or the prohibition on excluding liability for negligence causing death or personal injury under the Unfair Contract Terms Act 1977.

To request a refund under an exception: email admin@advertiseengland.com with your order reference and full details. We aim to respond within 2 business days.

8.2a Founder and Lifetime Memberships — No Refund Policy

Founder and lifetime memberships are non-refundable after the 14-day cooling-off period, except where required by law. You acknowledge that lifetime access represents a significant financial commitment and you have reviewed the offering carefully before purchasing.

By purchasing a Founder or lifetime membership you expressly acknowledge that:

  • You have carefully considered the value of lifetime access before purchasing and are satisfied with the offering;
  • No refund will be available after the 14-day cooling-off period except in the narrow circumstances set out in section 8.2;
  • You are acting in the course of a business and not as a consumer;
  • You have had the opportunity to ask questions and seek independent advice before committing;
  • The significant commitment nature of the purchase has been drawn to your attention in these Terms and at checkout.

8.3 Cancellation

You may cancel your subscription at any time from your Dashboard. Cancellation stops the next renewal payment. The current billing period continues until its natural expiry, at which point your listing automatically downgrades to a permanent Free advert (see section 6.4). Cancellation does not entitle you to a refund of any portion of the current billing period.

Founder (lifetime) listings have no recurring charge and cannot be cancelled in the conventional sense — there is nothing to cancel. If you wish to remove a Founder listing, you may delete it from your Dashboard.

9. Listing Content Rules

9.1 Your responsibilities

You are solely responsible for all Content you submit to the Platform. By submitting Content you warrant that:

  • It is accurate, truthful and not misleading;
  • It relates to a genuine business operating in England;
  • You own or have the right to use all images, videos and other materials included;
  • It does not infringe the intellectual property rights, privacy rights or other rights of any third party;
  • It complies with all applicable laws, including consumer protection, advertising standards and competition law;
  • It does not contain prohibited content (see 9.2).

9.2 Prohibited content

You must not submit Content that:

  • Is false, fraudulent, deceptive or materially misleading;
  • Contains profanity, hate speech, slurs, or discriminatory language;
  • Is sexually explicit, obscene or pornographic;
  • Promotes illegal activity or facilitates harm;
  • Infringes copyright, trademarks or other intellectual property;
  • Constitutes spam, unsolicited advertising unrelated to the business listed, or malicious code;
  • Impersonates any person, business or organisation;
  • Relates to a business located outside England;
  • Is a duplicate of an existing listing for the same business on the Platform.

Our submission system automatically screens descriptions for prohibited language. Listings flagged by the system will be blocked until revised. We reserve the right to reject, edit, suspend or remove any Content at our sole discretion without notice or liability.

9.3 Our rights over your Content

By submitting Content to the Platform you grant Advertise England a non-exclusive, worldwide, royalty-free licence to display, reproduce, adapt and promote your Content on the Platform and in associated marketing materials for the duration of your subscription (and for a reasonable period thereafter for archival and promotional purposes). This licence does not transfer ownership of your Content. You retain all intellectual property rights in Content you have created.

9.4 Content verification

We do not verify the accuracy of Content submitted by Listers. We are a platform hosting third-party content and are not the author or publisher of Lister Content. We rely on Listers to submit accurate information and accept no liability for the accuracy, completeness or currency of any listing.

10. Reviews

10.1 Review standards

Customer reviews may be submitted on certain paid tier listings. By submitting a review you warrant that it reflects a genuine experience with the business reviewed, is your honest opinion, and does not constitute defamation, harassment or a violation of any third-party rights.

10.2 DMCC Act 2024 compliance

In compliance with the Digital Markets, Competition and Consumers Act 2024 and CMA guidance (CMA208) in force from April 2025, Advertise England takes reasonable and proportionate steps to prevent, detect and remove fake and misleading reviews. The following are strictly prohibited:

  • Submitting, commissioning or facilitating fake reviews — including self-reviews, competitor-attack reviews, or reviews written by people who have not used the business;
  • Offering or accepting any incentive (monetary or otherwise) in exchange for a review without clear and prominent disclosure;
  • Suppressing or selectively publishing reviews to create a misleading impression of a business's reputation.

Advertise England does not guarantee the accuracy of any review. We reserve the right to remove any review we reasonably believe violates these standards, without notice or liability. We will not knowingly publish reviews that are fake, incentivised without disclosure, or constitute defamatory content.

10.3 Reporting reviews

If you believe a review on your listing or any other listing is fake, defamatory or in breach of these terms, email hello@advertiseengland.com with the listing name and your reasons. We will investigate and respond within a reasonable time.

10.4 Content Moderation

We maintain a dedicated moderation team and reserve the right to remove, edit, or refuse to publish any content that violates our Content Guidelines, these Terms, or applicable law.

Our approach to content moderation:

  • All listings and reviews are subject to automated screening on submission;
  • Reported content is reviewed within 5 business days and action taken where a violation is confirmed;
  • Where content is removed, the submitter will be notified by email where reasonably practicable, with a brief explanation of the reason;
  • In compliance with the Online Safety Act 2023 and Ofcom guidance, we provide accessible appeal rights to users whose content has been removed or restricted. Appeals must be submitted within 28 days of the removal notice;
  • To submit an appeal: email hello@advertiseengland.com with the subject line "Content Appeal", including your listing reference, the content concerned, and the grounds for your appeal. We will acknowledge within 3 business days and provide a substantive decision within 10 business days;
  • Appeal decisions are final, except where you have a legal right to further recourse under applicable law.

Content Guidelines: Our full Content Guidelines — covering what is permitted, what is prohibited, and how we make moderation decisions — are published at advertiseengland.com/content-guidelines. These Guidelines form part of these Terms and are incorporated by reference. By submitting any content to the Platform you confirm you have read and agree to the Content Guidelines.

11. Tourist, Events & What's On Content

11.1 Nature of tourist and events information

The Platform includes tourist information, travel guides, accessibility guides, events listings, "What's On" content and related material. This content is provided for general information purposes only.

We make no representations or warranties about the accuracy, completeness, currency or fitness for any purpose of tourist, events, travel or "What's On" content. Events, opening times, prices, accessibility features and travel information change frequently and may be out of date. You must verify all information directly with the relevant venue, operator or authority before making travel plans, purchasing tickets or relying on it for any purpose.

11.2 Events and What's On listings

Events and "What's On" listings are submitted by third-party Listers. Advertise England is not the organiser of any event listed on the Platform and accepts no liability for:

  • The cancellation, postponement or alteration of any event;
  • The quality, safety or suitability of any event;
  • Any loss, cost or disappointment arising from attending or attempting to attend any listed event;
  • Ticket purchases or bookings made as a result of information on the Platform.

Any disputes regarding events, ticketing or bookings must be raised directly with the event organiser or ticket provider.

11.3 Tourist and travel information

Tourist information, travel guides, accessibility information and related content are provided as a general public service. They do not constitute professional advice. We do not guarantee that any tourist attraction, venue or service described on the Platform is open, accessible, safe or suitable for your particular needs. You should conduct your own enquiries before visiting any location.

Accessibility information is provided in good faith based on available data but may not reflect the current state of a venue. Users with specific accessibility requirements must verify directly with the venue.

12. Intellectual Property

All intellectual property in the Platform itself — including its design, code, layout, logos, brand name, and editorial content created by Advertise England — is owned by or licensed to Advertise England and is protected by copyright, trade mark and other applicable laws. You may not reproduce, distribute, modify, reverse-engineer or create derivative works from any part of the Platform without our prior written consent.

The "Advertise England" name, logo and brand marks are our trading names and/or trade marks. Nothing in these terms grants you any right to use them.

Content submitted by Listers remains the intellectual property of the Lister, subject to the licence granted in section 9.3. You must not submit Content that infringes the intellectual property rights of any third party. If you believe Content on the Platform infringes your rights, contact hello@advertiseengland.com.

13. Disclaimer of Warranties

The Platform and all Services are provided "as is" and "as available" without warranty of any kind, express or implied.

To the fullest extent permitted by applicable law, Advertise England expressly disclaims all warranties, including but not limited to:

  • Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement;
  • That the Platform will be uninterrupted, error-free, secure or free from viruses or other harmful components;
  • That listing Content submitted by Listers is accurate, complete, current, lawful or reliable;
  • That search rankings or placement will meet your expectations or remain unchanged;
  • That any particular result will be achieved through listing on the Platform;
  • That tourist, events, travel or "What's On" information is accurate, current or fit for your purpose;
  • That any business, service, event or property listed on the Platform is licensed, accredited, safe or suitable for your needs.

The website, services and all content are provided without any warranties of any kind — express or implied — including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. No advice or information, whether oral or written, obtained from Advertise England or through the Platform shall create any warranty not expressly stated in these terms.

Nothing in this section affects any statutory rights you have that cannot be excluded or restricted under applicable law.

14. Limitation of Liability

14.1 Scope of limitation

To the fullest extent permitted by applicable law, Advertise England's total aggregate liability to any Lister or User arising out of or in connection with these terms, the Platform or the Services — whether in contract, tort (including negligence), breach of statutory duty or otherwise — shall not exceed the greater of (i) the total fees paid by you to Advertise England in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) £1,000.

This cap provides a meaningful floor of protection (£1,000) while scaling with what you have actually paid us. If you paid nothing (free listing), our liability is limited to £1,000. If you paid more than £1,000 over twelve months, the cap equals your actual spend. This is a proportionate, fair approach that English courts recognise as reasonable.

To the extent that any limitation or exclusion in this section is found to be unreasonable or unenforceable under the Unfair Contract Terms Act 1977 or the Consumer Rights Act 2015, that limitation or exclusion shall be severed and the remaining provisions of this section shall continue in full force and effect.

14.2 Excluded losses

To the fullest extent permitted by law, Advertise England shall not be liable for any:

  • Loss of profits, revenue, business, contracts or anticipated savings;
  • Loss of goodwill or reputation;
  • Loss of data or information;
  • Indirect, special, incidental, consequential or punitive loss or damage;
  • Loss arising from reliance on inaccurate, incomplete or outdated listing, tourist, events or travel content submitted by third-party Listers;
  • Loss arising from the acts or omissions of any business, event organiser or third party listed on the Platform;
  • Loss arising from your use of or inability to use the Platform or any linked third-party site.

14.3 Mandatory exceptions

Nothing in these terms excludes or limits liability for:

  • Death or personal injury caused by our negligence;
  • Fraud or fraudulent misrepresentation by Advertise England;
  • Any other liability that cannot be excluded or limited under applicable English law, including under the Unfair Contract Terms Act 1977, the Consumer Rights Act 2015 (where applicable), or any other mandatory statutory provision.

Any term in these Terms which would otherwise exclude or restrict these categories of liability is void to that extent.

14.4 Platform as intermediary

Advertise England is a platform intermediary that hosts third-party Content. We are not the author, publisher or endorser of Content submitted by Listers. We do not vet, verify or endorse any business, product, service, event or tourist attraction listed on the Platform. Any transaction, engagement or relationship you enter into with a listed business or event organiser is solely between you and that party. Advertise England is not a party to such transactions and accepts no liability arising from them.

You use the Platform and rely on its Content entirely at your own risk. Before engaging with any business, attending any event, or making any booking based on information on this Platform, you must conduct your own due diligence and verify information directly with the relevant party.

14.5 Owners, shareholders and beneficial owners

Advertise England is operated as a business entity. Nothing in these Terms & Conditions, and no use of the Platform, shall create any personal liability on the part of any shareholder, beneficial owner, director, officer or employee of Advertise England acting in their personal capacity. All liability, to the extent it exists and is not otherwise excluded by these terms, rests solely with the business entity operating the Platform.

In particular:

  • No shareholder or beneficial owner of Advertise England shall be personally liable for any claim, debt, obligation or liability arising from the Platform or these terms, whether in contract, tort or otherwise;
  • The limited liability of shareholders and owners is preserved to the fullest extent permitted by the Companies Act 2006 and applicable English law;
  • Any claim arising under or in connection with these terms must be brought solely against the business entity and not against any individual shareholder, beneficial owner, officer or employee in their personal capacity;
  • This clause does not limit or exclude liability for any individual's own fraud or fraudulent misrepresentation.

15. Indemnity

You agree to indemnify, defend and hold harmless Advertise England, its shareholders, beneficial owners, directors, officers, employees, agents and licensors (each individually and collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of any provision of these Terms & Conditions;
  • Content you submit to the Platform, including any claim that it infringes a third party's intellectual property, privacy or other rights, or is false, misleading or defamatory;
  • Misleading advertising or misrepresentations contained in your listing or any communications you make through or in connection with the Platform;
  • Your use of the Platform in violation of any applicable law, regulation or third-party right;
  • Any transaction, engagement or dispute between you and a third party arising from a listing, referral or information on the Platform;
  • Any claim by a visitor, customer or third party arising from inaccurate, incomplete or misleading information in your listing;
  • Any claim arising from your business activities, acts or omissions in connection with a customer or visitor who found or contacted you through the Platform;
  • Any claims arising from your breach of third-party rights, including intellectual property rights, data protection rights, or consumer protection obligations.

This indemnity extends to each of the Indemnified Parties in their personal capacity as well as in their capacity as officers, directors or owners of Advertise England. No shareholder, beneficial owner, director or officer shall be required to bear any personal financial liability for claims you bring or that arise from your use of the Platform.

16. Third-Party Links

The Platform may contain links to third-party websites, including linked websites in listing profiles. These links are provided for convenience only. Advertise England does not control, endorse or accept responsibility for any third-party website or its content, services or practices. Your use of any third-party website is governed solely by that site's own terms. We recommend you review the terms and privacy policy of any external site you visit.

We are not responsible for the availability, accuracy or content of any external website. Links to third-party sites do not imply any partnership, sponsorship or affiliation with Advertise England.

17. Suspension & Termination

17.1 Our right to terminate or suspend

We may, in our sole and absolute discretion, terminate, suspend, restrict or discontinue the operation of the Platform or any part of it, or your access to it, at any time and for any reason — including no reason — with or without notice. This includes the right to:

  • Terminate or suspend your account, your listing or your access to any Service at any time;
  • Discontinue the entire Platform, any feature, or any Service at any time;
  • Remove any listing or Content without prior notice;
  • Change, restrict or withdraw any aspect of the Platform without liability.

Without limiting the above, we will typically exercise our termination or suspension rights where we have reason to believe you have:

  • Breached any provision of these Terms & Conditions;
  • Submitted false, misleading or fraudulent information;
  • Engaged in conduct harmful to other users, Listers or the Platform;
  • Failed to pay amounts due;
  • Acted in a way that may expose Advertise England, its owners, shareholders or officers to legal liability;
  • Violated any applicable law or regulation.

17.2 No compensation on termination

Upon any termination or suspension — whether of your account, your listing, or the Platform itself — you shall not be entitled to any compensation, refund, or damages whatsoever, unless we have terminated a paid subscription without cause before the end of its current billing period, in which case a pro-rata refund of prepaid fees for the remaining unused period only will be considered.

In particular:

  • We shall not be liable to you or any third party for any termination or suspension of your access to the Platform or Services;
  • No refund, compensation or damages shall be payable where termination or suspension arises from your breach of these terms, your misconduct, or as part of a general withdrawal or discontinuation of the Platform;
  • We are not obliged to provide reasons for any termination or suspension decision.

17.3 Effect of termination

Upon termination of your account:

  • All rights and licences granted to you under these Terms shall immediately cease and become null and void;
  • Your access to the Dashboard and listing management tools will end immediately;
  • Paid listing Content will be removed from the Platform;
  • Where termination results from subscription expiry (rather than breach or withdrawal), the listing downgrades to a permanent Free advert as described in section 6.4, unless you choose to delete it;
  • Any outstanding obligations owed by you to Advertise England (including unpaid fees) remain due and payable.

The following sections shall survive termination and continue in full force: sections 9.3 (licence), 12 (intellectual property), 13 (warranties), 14 (limitation of liability), 15 (indemnity), and 20 (governing law).

18. Acceptable Use

You must not use the Platform to:

  • Scrape, harvest or systematically extract data, contact details or other Content from the Platform without our prior written consent;
  • Use automated tools, bots or scripts to access, monitor or copy any part of the Platform;
  • Attempt to gain unauthorised access to any part of the Platform, its servers, databases or related systems;
  • Transmit any virus, malware, or other harmful or disruptive code;
  • Interfere with or disrupt the integrity or performance of the Platform or its infrastructure;
  • Circumvent any technical measures we use to prevent or restrict access to the Platform;
  • Create, check, update or populate any external database, mailing list or marketing resource using Content from the Platform;
  • Engage in any activity that is unlawful, fraudulent, or harmful, or that facilitates unlawful, fraudulent or harmful activities by others;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

Breach of this section may result in immediate suspension or termination of your account and may be reported to relevant law enforcement authorities.

19. Changes to Terms

We reserve the right to update these Terms & Conditions at any time. When we make material changes, we will:

  • Update the "Last updated" date and version number at the top of this page;
  • Where changes materially affect active paid subscribers, notify you by email to your registered address with at least 30 days' notice before the changes take effect.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated terms. If you do not agree to the updated terms, you must stop using the Platform and, if applicable, cancel your subscription before the new terms take effect. Where you cancel within the 30-day notice period as a result of a material change, a pro-rata refund of prepaid fees for the remaining unused period will be considered.

20. Governing Law

These Terms & Conditions and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms, subject to any mandatory applicable law that provides otherwise.

If you are a consumer resident in Scotland or Northern Ireland, you may also be entitled to bring proceedings in the courts of your country of residence.

These terms constitute the entire agreement between you and Advertise England in relation to the Platform and supersede all prior agreements, representations or understandings relating to the same subject matter.

20b. Severability & Waiver

Severability

If any provision of these Terms & Conditions is found by a court or other competent authority to be invalid, unlawful, unenforceable or illegal — whether in whole or in part — that provision or part shall, to the extent required, be deemed deleted from these Terms. The validity and enforceability of the remaining provisions shall not be affected. If any invalid, unenforceable or illegal provision would be valid, enforceable or legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.

Waiver

No failure or delay by Advertise England in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. No single or partial exercise of any right or remedy shall preclude or restrict any further exercise of that or any other right or remedy. No waiver of any breach shall be construed as a waiver of any subsequent breach of the same or any other provision.

A waiver of any right or remedy under these Terms is only effective if given in writing and shall not be deemed a waiver of any subsequent breach or default. Nothing in this clause prevents us from enforcing any rights or remedies available to us under applicable law.

If you are not satisfied with our response, you may seek independent legal advice or refer the matter to an appropriate dispute resolution body. Nothing in these terms prevents you from exercising any statutory rights available to you under applicable UK law.

We take data protection seriously and comply with the UK GDPR and the Data Protection Act 2018. Our Privacy Policy forms part of these Terms & Conditions and is incorporated by reference. It explains in full how we collect, use, store, share and protect your personal data, and how to exercise your rights.

ICO guidance for online directories

As an online business directory, we follow ICO guidance on the lawful publication of contact information:

  • Business contact details (such as business name, address, phone number and business email) are generally published on the basis of legitimate interests, where they relate to a business activity rather than a private individual;
  • We do not knowingly publish personal phone numbers, private home addresses or other purely personal data without the consent of the individual concerned;
  • Business owners and their representatives can request correction, amendment or removal of their listing at any time by contacting hello@advertiseengland.com or data@advertiseengland.com;
  • Individuals may request removal or correction of inaccurate data at any time. We provide tools and straightforward access for data subjects to exercise their UK GDPR rights — including the right of access, rectification, erasure ("right to be forgotten"), restriction of processing, data portability, and the right to object — as described in our Privacy Policy;
  • UK GDPR rights requests are handled within statutory timeframes (typically one calendar month). Contact data@advertiseengland.com to exercise any of your rights.

Your obligations when submitting data

By submitting a listing you confirm that:

  • You have a lawful basis under UK GDPR for providing any personal data included in your listing (including the consent of any individuals named, where required);
  • The information you submit is accurate and relates to a genuine business operating in England;
  • You will notify us promptly if any data you have submitted becomes inaccurate or needs to be removed.

Key data processing points

  • We collect only personal data necessary to provide the Services — account details, listing information and, with consent, analytics and marketing data;
  • Payment data is processed exclusively by Stripe Technology Europe Ltd under PCI DSS — we do not store card details;
  • All data is transmitted over HTTPS/TLS 1.3 and retained only as long as necessary for the purposes for which it was collected;
  • You have rights of access, rectification, erasure, portability, restriction and objection — contact data@advertiseengland.com.
